Capital markets law

My experience in capital markets law relates to transactional and regulatory issues. I advise issuers and financial institutions involved in the process of obtaining financing, acquiring control or taking a company public. I combine my skills in corporate issues with my knowledge of public law and administrative procedure.

1. advising on the process of obtaining public company status;
2. comprehensive corporate and regulatory support for public companies in the regulated market and the alternative trading system;
3. advising on the procedure for delisting shares from the regulated market or alternative trading system;
4. preparation of full documentation and support in the issuance of financial instruments, including: shares, bonds, subscription warrants;
5. advising on calls to subscribe for the sale or exchange of shares in a public company;
6. handling capital market transactions, including direct and indirect acquisitions of control over public companies;
7. representation of issuers and other market participants before the Financial Supervision Authority, the Warsaw Stock Exchange and the National Depository for Securities;
8. advising on information obligations for issuers, shareholders and entities making indirect acquisitions of shares in a public company;
9. implementation of legislative requirements concerning, inter alia, the activities of audit committees, supervisory boards, cooperation with audit firms and auditors and relations between the company and related parties;
10. comprehensive services for alternative investment companies;
11. representation before common courts, the Supreme Court and administrative courts.

In advising on capital markets law, I emphasise process dynamics and innovation in the use of legal mechanisms. I have developed and implemented transactional scenarios that have often been unconventional in nature. Due to the peculiarities of the capital markets, I subject the developed structures to a legal and regulatory safety test first.
